Payment Terms & Project Schedule

Payment Schedule
To ensure dedicated project time and resources, the following payment schedule applies:
-Initial Deposit (50%): Due upon signing to secure the project start date and begin the Discovery/Planning phase.
-Visual Direction & Homepage Approval (25%): Due once the Homepage design and global styles (fonts, colors, and layout) are approved in the staging environment - typically within 7-14 business days of project start.
-Final Delivery & Transfer (25%): Due upon completion of the website build and functional testing, prior to the live launch or transfer of ownership.
Project Continuity & Asset Delivery
The Client agrees to provide all necessary assets (copy, photography, branding, and logins) within 14 days of the project start date. To prevent project stagnation, the following "Project Safeguards" are in place:
-The Placeholder Provision: If the website structure is ready for completion but specific, client-provided assets (e.g., professional photography) are missing, C3 will complete the build using high-quality stock images or placeholder text. The project will be considered "Complete" for billing purposes, and the final 25% balance will be invoiced.
*Note: C3 will perform a one-time "Asset Swap" to replace placeholders or copy with client assets at no additional cost once they are received (up to 2 hours of labor).
-The Archive & Re-activation Clause: If a project cannot reach a functional state (such as the Placeholder Provision above) due to a total lack of foundational client assets (e.g., no branding or site map provided) for more than 21 days, the project will be placed in "Archive Status."
~Any work completed to date will be invoiced immediately.
~To resume an archived project, a Re-activation Fee** will apply to cover the overhead of rescheduling and project re-familiarization.
*If the project is sufficiently advanced to be functional with placeholder content, Placeholder Provision shall apply. If the project cannot proceed to a functional state due to missing foundational assets, Archive & Reactivation Clause shall apply.
**Re-activation Fee is based on project pricing and will be explicitly stated in initial contract.
3. Ownership & Launch
Full ownership, copyright, and administrative credentials will be transferred to the Client only upon receipt of the final 25% payment. No website will be moved to a live production environment the project balance is paid in full.
